General Terms and Conditions
General Terms and Conditions (GTC) for the Cutting-Tool-Academy D.Schilling
- Scope of Application These General Terms and Conditions apply to all services, training, and offers of the Cutting-Tool-Academy D.Schilling (hereinafter referred to as „the Academy“).
- Offers and Validity
- All offers from the Academy are valid for a period of 3 months, unless stated otherwise.
- Training and Consultation 3.1 Topics and Contents
- Training topics will be discussed in advance, and a provisional training plan will be created. These topics form the basis of the training.
3.2 Training Start and Duration
- A training day starts at 8 am by default and lasts for 8 hours unless otherwise agreed. There is a flexible break time of up to 1.5 hours. The total duration can be extended by 1 hour free of charge based on participant preferences.
3.3 Requirements for Customer Site Training
- The customer must ensure smooth operations. A separate training room with access to a programming station is required. For on-machine training, a machine must be made available.
3.4 Training at the Academy
- The number of participants is limited to two, with each participant having their own programming station. The Academy is happy to assist in organizing hotel accommodations as well as arrival and departure.
3.5 Proposal Preparation and Invoicing
- Each proposal includes the training topic, duration, and location (either at the customer’s premises or at the Academy’s premises). For customer site training, travel time, travel expenses, flights, hotel, and meal costs are listed as fixed prices.
- Invoicing is done referencing the currently valid proposal number.
- Payment Terms Payment Terms for New Customers:
- Payment terms are 30 days net from the date of invoicing but always prior to the start of training. No flights, hotels, or other important bookings can be made before receipt of payment. Late payments may incur additional costs for last-minute bookings deviating from the original offer. Payment Terms for Regular Customers:
- Special payment terms apply to regular customers. The payment deadline is also 30 days net from the date of invoicing, but payment before the start of training is not mandatory for regular customers. Changes in dates or rescheduling incur additional costs, which are billed separately.
- Online Training and Support 5.1 Validity and Usage Period
- Offers for online support and training are also valid for 3 months. Purchased support hours must be fully utilized by the end of the month. Unused hours can be stored for an additional 20 working days, after which they expire. 5.2 Billing of Support Hours
- Support hours are billed in 10-minute increments. The first hour is always billed in full. Necessary preparatory work or programming effort is also billed in 10-minute increments. 5.3 Technical Requirements for Online Support
- The customer must ensure a smooth internet connection. We recommend a headset and webcam of standard quality. 5.4 Disclaimer for Online Support and Training
- Warranty Disclaimer: The Cutting Tool Academy informs customers that online support and training cannot fully replace in-person training.
- Disclaimer for Sample Programs: Sample programs from our tool database are for illustrating specific customer requirements. The Cutting Tool Academy does not guarantee that these programs are error-free. It is the customer’s responsibility to verify the applicability of the programs. This disclaimer also applies to programs sent by customers for optimization.
- Intellectual Property 6.1 Copyright and Ownership
- All content, including text, graphics, logos, images, videos, audio files, software, and other materials on our website or in our training materials, are copyrighted and our property or that of our licensors. This content may not be copied, reproduced, transmitted, sold, modified, or otherwise used without our express consent. 6.2 License to Use
- We grant you a limited, non-exclusive, non-transferable license to use the provided content solely for training and informational purposes within the scope of our services. This license automatically expires upon termination of our services. 6.3 Trademarks
- All trademarks, service marks, and logos appearing on our website are either registered or unregistered trademarks of our company or our partners. Use of these trademarks without our prior written permission is prohibited.
- Confidentiality and Data Protection 7.1 Confidentiality
- We respect the confidentiality of your data and information. All information you provide to us as part of our services will be treated confidentially. We commit not to disclose your data to third parties unless legally required or necessary to provide our services. 7.2 Data Protection
- By using our services, you agree to our privacy policy, which describes how we collect, use, and protect personal data. Our privacy policy is available on our website and is part of these GTC.
- Limitation of Liability 8.1 General Limitation of Liability
- To the extent permitted by law, we are not liable for direct, indirect, incidental, special, or consequential damages arising from the use of our services, including but not limited to lost profits, loss of data, business interruption, or other economic damages, even if we have been advised of the possibility of such damages. 8.2 Liability Limitation for Training and Consultation
- Our liability related to training, consulting, or other services is limited to gross negligence or willful misconduct. We do not assume liability for damages or losses arising from the application or implementation of the provided information. 8.3 Indemnification
- You agree to indemnify and hold us and our representatives harmless from all claims, losses, liabilities, costs, and expenses (including attorney’s fees) arising from your use of our services.
- Final Provisions 9.1 Jurisdiction and Applicable Law
- These General Terms and Conditions are governed by Swiss law. The competent court at the location of our company has exclusive jurisdiction over disputes arising from or in connection with these Terms and Conditions. 9.2 Amendments and Supplements
- Amendments or supplements to these Terms and Conditions require written form. This also applies to waiving the requirement of written form itself. 9.3 Severability Clause
- Should any provision of these Terms and Conditions be or become invalid in whole or in part, this shall not affect the validity of the remaining provisions.
